1. Developer Identity & Service Overview

The Application Manager PA is developed, owned, and operated by Jarosław Paweł Jarosz, an individual developer operating under the project/brand name Keran Labs (“Company”, “We”, “Us”, or “Our”), located in Poland (European Union).

2. Definitions

• Application: The software program provided by the Company downloaded by You on any electronic device, named Manager PA.
• Application Store: The digital distribution platform operated by Apple Inc. (Apple App Store) or Google LLC (Google Play Store) through which the Application is distributed.
• Account: A unique authenticated profile created for You to access the Application and its features.
• Device: Any mobile phone, tablet, or digital terminal capable of running the Application.
• Service: Refers to the Application and any related digital offerings provided under Manager PA.
• Subscription: A recurring, fee-based service plan granting access to premium functionalities of the Application.
• You: The individual accessing or using the Service, or the company/legal entity on behalf of which such individual accesses the Service.

3. User Accounts & Authentication

To use core features of Manager PA, you are required to register and maintain an Account. By creating an Account, you agree to the following:

• Credentials: Account registration is handled exclusively through direct email and password authentication. We do not provide or integrate authentication via third-party social media authenticators or social login providers.
• Account Security: You are responsible for safeguarding your login credentials and preventing unauthorized access to your account. You agree to notify us immediately at [email protected] upon discovering any security compromise.
• Eligibility: You represent and warrant that you are at least 18 years of age. Those under 18 years of age are not permitted to use the Service.
• Workplace Data Authority: When entering employee, team, or coworker information, you represent that you possess the appropriate authorization and lawful basis under applicable labor and data protection laws to input such details into the Application.

4. Subscriptions, Payments & Cancellation Policy

A. Premium Subscriptions

Certain advanced features of the Application (including advanced management tracking and AI-driven insights) require a paid monthly Subscription. We do not offer free trial periods for paid subscription tiers unless expressly stated otherwise in writing.

B. Billing & Payment Processing

All subscription purchases, renewals, and payment processing are handled exclusively through the respective Application Store (Apple App Store In-App Purchases or Google Play In-App Payments). We do not collect, process, or store your credit card or financial payment details directly.

C. Automatic Renewal

Subscriptions renew automatically on a monthly recurring basis unless canceled at least 24 hours before the end of the current billing cycle. Your associated Apple ID or Google Play account will be billed for renewal within 24 hours prior to the close of the current period.

D. Management and Cancellation

You may manage, adjust, or cancel your subscription at any time directly through your account settings in the respective Application Store:

• Apple App Store (iOS): Open Device Settings > [Your Name] > Subscriptions > Select Manager PA > Cancel Subscription.
• Google Play Store (Android): Open Google Play Store > Profile Icon > Payments & subscriptions > Subscriptions > Select Manager PA > Cancel Subscription.

Cancellation stops future recurring charges. Your access to premium features will continue until the end of the current prepaid billing period.

E. No-Refund Policy

All subscription fees and digital purchases are non-refundable. We do not provide refunds, credits, or prorated reimbursements for partially used billing periods or unused features. Any refund requests must be submitted directly to Apple or Google and remain subject to their respective platform refund policies.

5. Artificial Intelligence Processing & Disclaimers

The premium release of Manager PA integrates artificial intelligence capabilities powered by Google Gemini to assist users with management summaries and personnel workflow recommendations.

• Data Anonymization / Minimization: Identifiable personal data (such as employee names) is sanitized or pseudonymized before transmitting text prompts to Google Gemini.
• Advisory Nature Only: All AI-generated insights, recommendations, and prompts are generated algorithmically for informational and productivity assistance only. The Application does not provide legal, human resources (HR), psychological, or labor-relations advice.
• Sole Discretion: You retain sole discretion and full responsibility for all personnel decisions, employee evaluations, performance discussions, promotions, disciplinary measures, and workplace decisions. Keran Labs disclaims all liability for claims or damages arising from actions taken in reliance on AI-generated output.

6. Intellectual Property Rights

The Application, including its source code, architecture, visual interfaces, graphic design, icons, logos, trademarks, documentation, and the brand identity Manager PA and Keran Labs, are the exclusive intellectual property of Jarosław Paweł Jarosz and are protected by international copyright, trademark, and intellectual property laws.

You are granted a non-exclusive, non-transferable, revocable license to use the Application strictly in accordance with these Terms. You may not copy, modify, distribute, reverse engineer, decompile, or extract the source code of any portion of the Service.

7. User Feedback & Suggestions

If you submit comments, suggestions, feature ideas, bug reports, or other feedback (“Feedback”) to us (via email, in-app channels, or external platforms), you grant us an unrestricted, perpetual, irrevocable, royalty-free, worldwide license to use, implement, publish, modify, and incorporate such Feedback into our products and services without any payment, compensation, royalties, or attribution owed to you.

8. Termination

We may suspend or terminate your Account and access to the Service immediately, without prior notice or liability, if you violate these Terms and Conditions or engage in fraudulent or abusive activities.

You may terminate your Account at any time by deleting your account inside the Application or via our deletion portal at https://keranlabs.com/delete-account/. Upon termination, your right to use the Service ceases immediately.

9. “AS IS” & “AS AVAILABLE” Disclaimer

The Service is provided to you on an “AS IS” and “AS AVAILABLE” basis, without warranty of any kind. To the fullest extent permitted under applicable law, we expressly disclaim all warranties—whether express, implied, or statutory—including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We make no warranty that the Application will meet your requirements, be compatible with all devices or operating systems, operate without interruption, or remain completely bug-free.

10. Limitation of Liability

To the maximum extent permitted by applicable law, neither the Company nor its suppliers shall be liable for any indirect, incidental, special, punitive, or consequential damages (including loss of profits, data loss, business interruption, or workplace disputes) arising out of or related to your use of or inability to use the Service.

In all cases, our aggregate liability under these Terms shall be limited strictly to the amount actually paid by you through the Service during the twelve (12) months preceding the incident, or one hundred US dollars ($100 USD), whichever is greater.

11. Governing Law & Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of Poland, excluding its conflicts of law rules. If you are an EU consumer, you also benefit from mandatory statutory provisions of the country in which you reside.

If you have any dispute or concern regarding the Service, you agree to first contact us at [email protected] to attempt an informal, good-faith resolution before initiating formal legal proceedings.

12. Severability and Modifications

If any provision of these Terms is deemed invalid or unenforceable, that provision will be modified to reflect its original intent to the fullest extent permitted by law, and the remaining provisions will continue in full force and effect.

We reserve the right to revise or update these Terms at any time. When modifications are material, we will provide at least 30 days’ advance notice through an in-app alert or notification. Continuing to use the Service after changes take effect constitutes acceptance of the amended Terms.
